The Business Acquisition Process:

Before buying or selling a business, our advisors work closely with clients to define the goals of the M&A project. This collaborative process results in the drafting of either a Buyer’s Representation Agreement or a Seller Listing Agreement.

The Buyer’s Representation Agreement:
– Defines the buyer’s acquisition criteria, enabling our advisors to identify potential acquisition targets.
– Establishes the length of the assignment and includes a confidentiality agreement.
– Establishes an exclusive or non-exclusive relationship between the buyer and our advisors.
– Details the compensation terms for our advisors when not paid by the seller.
– May include an optional retainer agreement.
– Requires the buyer to sign a non-disclosure agreement.

The Seller’s Listing Agreement:
– Describes an offer to sell a business, including the selling price and acceptable terms.
– The selling price is based on a business appraisal/valuation.
– Includes the broker’s compensation terms.
– Enables co-brokering through an exclusive right of sale.
– Typically has a term of 6-12 months.
– Requires prospective buyers to sign confidentiality agreements.
